A mid-sized remediation
firm and 10-year Paragon client submitted a project bid that included
$15,000 to cover an umbrella limit requirement he did not have. When the
bid was accepted, Paragon convinced the project owner to accept an
alternative risk transfer strategy providing similar coverage at a
$12,000 savings.

new client, already pre-approved for bonds in general, called on
New Year's Eve afternoon needing a bond for the next business day.
Paragon's respected relationship with the underwriter resulted in
authorization prior to the holiday, with special delivery of the
certificate to a shipping facility, allowing the client to bid the
project.

developer with acquisition of environmentally impaired property.
Addressed insurance carrier responsibility for ongoing remediation
project related to a toxic tort settlement and placed new
insurance coverage liabilities. Coordinated solution that was
acceptable to buyer, seller, lender, past insurance carrier
(responsible for ongoing remediation) and current insurance
carrier (responsible for future liability). Negotiated a policy
that was transferable, making it possible for the developer to
re-sell the
property.
Represented both parties in the successful resale process.

| ACQUISITION
OF A LIABLE COMPANY: |
|
Assisted
a multinational buyer in acquisition of a US company with an
isolated environmental exposure. With legal counsel, buyer and
seller, developed a strategy creating a special purpose LLC to
hold the liability. Insured the liability, reduced required escrow
from nearly 20 percent of the $45 million deal value, and replaced
escrow with an insurance policy that cost less than $200,000.
Facilitated closing via telephone connection with insurance
carrier to assure binding at the closing. This flexibility was
particularity important due to the client.s schedule and the fluid
nature of the negotiation/sales agreement.

BUYOUT: |

Assisted
management of a US business in buying out facilities and
operations (including a highly contaminated site) from European
parent company. Worked closely with principals of the acquisition
team to
structure a liability
transfer solution. Reviewed liability assessment strategies and assured
that principals fully understood the liability buyout concept. Developed
risk transfer and risk management strategies, assisted consultants with
liability estimates and facilitated completion.

| CONTINGENT
LIABILITY ESTIMATION: |

Assisted
a multinational parent company with the estimation of contingent
liability in one of its operating groups. Developed and
implemented strategy that managed due diligence and negotiations
concurrently with several potential buyers. Developed individual
risk transfer strategies that were acceptable to each individual
buyer. One of the strategies was development of a special purpose
LLC that would hold some of the contingent liability separate from
the transaction and be backed with a liability buyout program
(finite insurance). This was one of the largest liability buyouts
at the time. Managed the environmental components and the
environmental risk transfer process allowing the deal to close and
the parent company to obtain a premium price for the operation. |
